Cerrito Terms of Service

In plain terms

The short, human version. The formal terms below control, but here is the honest gist:

  • What Cerrito is. A subscription tool that helps cow-calf ranchers understand the true cost of what they produce. It combines your records with readings derived from satellite imagery of the land you map to surface figures like cost per pound, grazing runway, and drought/water signals — in English and Spanish.
  • The most important thing to understand — it's decision-support, not a professional's advice. Cerrito is never physically on your ranch. It reads records and imagery, and imagery has limits (clouds, resolution, what a satellite can and can't see). The numbers are estimates to help you think, not veterinary, agronomic, financial, or legal advice, and not guaranteed to be accurate. You make your own decisions and are responsible for them.
  • Your data is yours. You keep ownership of your records; you can export them; we don't sell them; we return or delete them when you leave.
  • Paying. Plans are monthly or annual through Stripe. There's a 21-day free trial that needs a card up front but isn't charged until the trial ends — cancel before it ends and you won't be billed. Subscriptions auto-renew until you cancel.
  • Fair use. Don't break the law with it, don't try to hack or resell it, and keep your login safe. If crew use your account, that's on you to manage.
  • Limits of our liability. Because these are estimates, our liability is capped and some things are disclaimed — the formal sections spell out how.

1. Agreement to these Terms

These Terms of Service ("Terms") are a binding agreement between you ("you," "Customer," or "User") and Cerrito Group LLC ("Cerrito," "we," "us," or "our"), a Texas limited liability company located at 5900 Balcones Drive, STE 100, Austin, TX 78731. They govern your access to and use of:

  • the marketing website at cerritocattle.com (the "Site"); and
  • the Cerrito application at app.cerritocattle.com, including its features, interfaces, and APIs (the "App").

The Site and App together are the "Service." By accessing or using the Service, creating an account, or clicking to accept these Terms, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" includes that organization.

Language. These Terms are provided in English and Spanish. The English version is the reference text, and in case of a conflict between the versions, the English version controls.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. The Service is intended for business use by cattle ranchers and their authorized crew and is not directed to consumers for personal, household use or to children.

3. Accounts, users, and security

  • Account creation. To use the App you must create an account with accurate, complete information and keep it up to date.
  • Owner and crew. A Customer account may authorize additional Users (for example, crew members), assign them roles/permissions, and is responsible for their access and activity. You are responsible for ensuring you have the right to add each User and for the Users' compliance with these Terms.
  • Credential security. You are responsible for safeguarding login credentials and for all activity under your account. Notify us promptly at support@cerritogroup.com of any unauthorized use.
  • Accuracy of records. Because the Service's outputs depend on the data you enter, you are responsible for the accuracy and completeness of your records and inputs.

4. The Service — what it is and what it is not

4.1 What the Service does

Cerrito helps ranchers understand the economics of their operation. Using the records you enter (herd, weights, treatments, movements, costs, and more) and readings derived from third-party satellite/aerial imagery of the land area you map, the Service surfaces figures and estimates such as cost and breakeven per unit of production, grazing "runway," and drought/water/vegetation signals about the mapped area, presented bilingually.

4.2 Informational and decision-support only — no professional advice (KEY DISCLAIMER)

This Section is a material part of the bargain. Read it carefully.

The Service provides information, estimates, and figures for decision-support purposes only. It is not professional advice and is not a substitute for the judgment of a qualified professional. Specifically:

  • Cerrito is never physically on the ground. It does not visit, inspect, or physically verify your ranch, your land, your animals, or any conditions. It reads records you provide and imagery of the area you map.
  • Satellite estimates have inherent limits. Imagery-derived readings are affected by factors including cloud cover, image resolution and timing, atmospheric conditions, sensor limitations, and the simple fact that imagery cannot see everything on or under the ground. Vegetation, water, and drought signals are estimates, not measurements taken at your ranch.
  • Outputs are not agronomic, veterinary, financial, tax, accounting, legal, or investment advice. Cost, breakeven, runway, and land-condition figures are informational estimates. You should independently verify conditions and consult qualified professionals (veterinarians, agronomists, accountants, attorneys) before making decisions.
  • No warranty of accuracy. We do not warrant that any estimate, figure, reading, or output is accurate, complete, current, or fit for any particular decision. Actual conditions may differ from what the Service shows.
  • You are solely responsible for your decisions. Any action you take based on the Service — buying, selling, moving, treating, or managing animals; financial or operational choices — is your own decision and your responsibility.

4.3 Availability and changes

We may modify, improve, suspend, or discontinue features of the Service, in whole or in part, at any time. We aim for high availability but do not guarantee the Service will be uninterrupted or error-free. Scheduled maintenance and factors outside our control may cause downtime.

4.4 The on-page assistant

The Service may offer an on-page assistant, powered by the large-language-model provider Groq, that answers general questions about the product from a curated public knowledge base. Its responses are general information only, may be incomplete or inaccurate, and are subject to Section 4.2. Do not rely on it for advice or enter sensitive personal information into it.

5. Your data and content

5.1 Ownership

As between you and Cerrito, you own the data and content you submit to the App — your records, ranch profile and boundary, costs, imported files, voice inputs, and the like ("Customer Data"). Cerrito does not claim ownership of Customer Data and does not sell it.

5.2 License to operate the Service

You grant Cerrito a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and otherwise use Customer Data solely to provide, secure, maintain, and improve the Service, to create aggregated and de-identified data as permitted by the Privacy Policy, and as otherwise instructed by you or permitted by these Terms and the Privacy Policy. This license ends when Customer Data is deleted, except for de-identified/aggregated data and backups pending routine deletion.

5.3 Export, return, and deletion

You may export Customer Data in CSV and Excel formats and may request its return or deletion on account closure, subject to the retention terms in the Privacy Policy and legal requirements.

5.4 Your responsibilities for content

You represent that you have the rights necessary to submit Customer Data and that it does not violate law or third-party rights. Do not submit content that is illegal, infringing, or that you are not authorized to share.

5.5 Feedback

If you send us suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free license to use it without restriction or obligation to you.

6. Subscriptions, trials, billing, and cancellation

6.1 Plans

The App is offered on monthly and annual subscription plans at the prices and features described on our pricing page and in the App. We may change plans and pricing prospectively; changes will not affect the current paid term but apply on renewal, with notice as required.

6.2 Free trial

We offer a 21-day free trial, limited to one trial per customer. A valid payment card is required to start the trial, but you are not charged during the trial. Unless you cancel before the trial ends, your subscription will automatically begin and your card will be charged the applicable fee at the end of the 21-day period. If you do not convert the trial into a paid subscription, your access ends and your data is handled in accordance with the retention schedule in our Privacy Policy.

6.3 Payment processing (Stripe) — no card storage

Payments are processed by Stripe. By subscribing, you authorize us and Stripe to charge your payment method for the applicable fees. Cerrito does not store your full payment-card number. Your card data is handled by Stripe under Stripe's terms and privacy policy. You are responsible for keeping your payment method valid; failed payments may lead to suspension or cancellation.

6.4 Auto-renewal

Subscriptions automatically renew at the end of each billing period (monthly or annual) at the then-current price, and your payment method will be charged, until you cancel. By subscribing, you consent to recurring, automatically renewing charges.

6.5 Cancellation

You may cancel at any time through the App or by contacting support@cerritogroup.com. Cancellation stops future renewals. Unless stated otherwise or required by law, cancellation takes effect at the end of the current paid term, and you retain access until then.

6.6 Refunds

We offer a money-back guarantee on your most recent billing period: if you request a refund, we will refund the amount charged for that most recent period. Fees for any earlier billing periods are non-refundable. Beyond this money-back guarantee, we do not provide additional partial-period refunds, except as required by applicable law. Because a 21-day free trial is offered, you can evaluate the Service before your first charge.

6.7 Taxes

Fees are exclusive of taxes. You are responsible for any applicable sales, use, VAT, IVA, or similar taxes, except taxes on our income.

6.8 Late or failed payment

If a charge fails or is overdue, we may suspend or terminate access after 10 days' notice. We do not charge late fees or interest on overdue amounts.

7. Acceptable use

You agree not to, and not to allow any User or third party to:

  • use the Service in violation of any law or regulation (including US and Mexican laws applicable to you);
  • reverse engineer, decompile, scrape, or attempt to access source code or non-public parts of the Service, except as permitted by law;
  • resell, sublicense, or provide the Service to third parties except your authorized Users, or use it to build a competing product;
  • interfere with, disrupt, overload, or attempt to gain unauthorized access to the Service or its infrastructure;
  • upload malware or infringing, unlawful, or unauthorized content;
  • misrepresent your identity or your authority to add Users or submit data; or
  • use the Service to make decisions you are not qualified or authorized to make, in reliance on it as professional advice contrary to Section 4.2.

We may investigate and take appropriate action, including suspension or termination, for violations.

8. Intellectual property

The Service, including its software, design, text, graphics, logos, and the curated public knowledge base — but excluding Customer Data — is owned by Cerrito or its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription. All rights not expressly granted are reserved. "Cerrito," the Cerrito logo, and related marks are trademarks of Cerrito; you may not use them without our prior written consent.

9. Third-party services

The Service integrates with third-party services (for example, Stripe for payments; satellite imagery from Sentinel (Copernicus/ESA) and NASA; base maps from Esri and Mapbox; Resend for email; and Groq as the large-language-model provider for the on-page assistant). Your use of those services may be subject to their own terms, and we are not responsible for third-party services. Satellite/imagery data is provided by a third party and is subject to Section 4.2.

10. Disclaimers of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL OUTPUTS, ESTIMATES, FIGURES, AND READINGS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or usage of trade. Without limiting Section 4.2, we do not warrant that the Service will be uninterrupted, secure, or error-free, or that any estimate, reading, or figure is accurate, complete, current, or reliable for any decision. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • No indirect damages. Neither party (and for Cerrito, its affiliates, officers, employees, agents, and suppliers) will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, livestock losses, or business interruption, arising out of or relating to the Service, even if advised of the possibility.
  • Cap on liability. Cerrito's total aggregate liability arising out of or relating to the Service and these Terms will not exceed the greater of the amount you paid Cerrito in the 12 months before the event giving rise to the claim, or US $100.
  • Estimates. You acknowledge that the Service provides decision-support estimates (Section 4.2) and that you bear the risk of decisions you make. This allocation of risk is reflected in the pricing.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12. Indemnification

You will defend, indemnify, and hold harmless Cerrito and its affiliates, officers, employees, and agents from and against any claims, damages, liabilities, and reasonable costs (including reasonable attorneys' fees) arising out of or relating to: (a) your Customer Data or content; (b) your or your Users' use of the Service; (c) your violation of these Terms or applicable law; or (d) your violation of any third-party right. We may assume exclusive defense of any matter subject to indemnification, and you will cooperate.

13. Term, suspension, and termination

These Terms apply while you use the Service. We may suspend or terminate your access if you breach these Terms, fail to pay, or create risk or legal exposure, with notice where practicable. You may stop using the Service and close your account at any time. On termination: (a) your right to use the Service ends; (b) accrued payment obligations survive; (c) we will make Customer Data available for export and then return or delete it per the Privacy Policy; and (d) Sections that by their nature should survive (including 4.2, 5.1, 8, 10, 11, 12, 14, 15, and 16) survive.

14. Governing law and jurisdiction

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-laws rules, and, where applicable, the federal laws of the United States. Subject to Section 15, the state and federal courts located in Travis County, Texas (Austin) will have exclusive jurisdiction, and the parties consent to venue there. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Cerrito has selected Option A — binding arbitration with a class-action waiver and an informal-resolution-first requirement. Option B is retained below for reference only and is not selected.

Option A — Binding arbitration and class-action waiver (SELECTED)

  • Informal resolution first. Before filing, the parties will try to resolve the dispute informally for 30 days after written notice to support@cerritogroup.com.
  • Arbitration. Any dispute not resolved informally will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with the seat/location in Austin, Texas, or, at your option for smaller claims, by telephone/video or on documents.
  • Class-action waiver. Disputes will be brought only in an individual capacity, not as a plaintiff or class member in any class, consolidated, or representative action.
  • Exceptions. Either party may seek injunctive relief for intellectual-property or unauthorized-access claims in court, and either party may bring an individual claim in small-claims court.
  • Opt-out. You may opt out of arbitration by sending written notice to support@cerritogroup.com within 30 days of first accepting these Terms.

Option B — Courts only (NOT SELECTED — reference only)

Not selected. If ever adopted, this option would delete Section 15 Option A and rely on Section 14 (courts) for all disputes.

16. Changes to these Terms

We may update these Terms from time to time. For material changes, we will update the "Last updated" date and provide reasonable notice (for example, by email or in-Service notice). Changes are effective as stated in the notice; your continued use after the effective date constitutes acceptance. If you do not agree, stop using the Service before the changes take effect.

17. General

  • Entire agreement. These Terms and the Privacy Policy (plus any order form or DPA) are the entire agreement and supersede prior agreements on the subject.
  • Severability. If any provision is unenforceable, the rest remains in effect, and the unenforceable provision is modified to the minimum extent necessary.
  • No waiver. Failure to enforce a provision is not a waiver.
  • Assignment. You may not assign these Terms without our consent; we may assign in connection with a merger, acquisition, or sale of assets.
  • Force majeure. Neither party is liable for delays or failures caused by events beyond reasonable control.
  • Relationship. The parties are independent contractors; nothing creates a partnership, agency, or employment relationship.
  • Notices. We may give notice by email or in-Service posting; you give notice to support@cerritogroup.com.
  • Export/sanctions compliance. You represent that you are not barred from receiving the Service under applicable US export-control or sanctions laws.
  • Headings. Headings are for convenience only.
